While Code Metrix employs proven, ethical, and industry-standard methods for SEO and web development, we do not guarantee specific rankings on search engines such as Google, Bing, or Yahoo. Search engine algorithms are operated by third parties and are subject to frequent, unpredictable changes. Any projections or estimates provided by Code Metrix are good-faith assessments based on available data and industry experience, not guaranteed outcomes.
3.3 Third-Party Platforms and Tools
Some services may involve the use of third-party platforms, tools, plugins, or APIs, including but not limited to Google Analytics, Google Search Console, WordPress, Elementor, and other software-as-a-service products. Code Metrix is not responsible for disruptions, changes, or discontinuation of third-party tools, and any costs associated with third-party subscriptions required for your project are the responsibility of the client unless explicitly stated otherwise in your service agreement.
4. Client Responsibilities
4.1 Accuracy of Information
You agree to provide Code Metrix with accurate, current, and complete information necessary to perform the agreed services. This includes, but is not limited to, business details, access credentials, branding assets, content, and any other materials requested. Code Metrix is not liable for errors, delays, or suboptimal outcomes resulting from inaccurate or incomplete information provided by the client.
4.2 Access and Cooperation
Where services require access to your existing website, hosting environment, Google accounts, social media profiles, or other platforms, you agree to provide such access in a timely manner. Delays in providing necessary access may result in adjusted timelines, and Code Metrix shall not be held responsible for missed deadlines caused by such delays.
4.3 Lawful Use
You agree to use CM Web Services solely for lawful purposes. You must not request or use our services to engage in any activity that violates applicable local, state, federal, or international laws or regulations. This includes, but is not limited to, creating or promoting content that is fraudulent, defamatory, obscene, infringing, or otherwise harmful.
4.4 Account Security
If access credentials or account information are shared with Code Metrix for the purposes of service delivery, you remain solely responsible for safeguarding those credentials. You should notify us immediately if you believe any credentials have been compromised.
5. Intellectual Property
5.1 Ownership of Deliverables
Upon receipt of full payment for services rendered, Code Metrix assigns to you the ownership rights of the custom deliverables created specifically for your project, including website designs, written content, and custom code developed under your service agreement. This transfer of ownership does not apply to pre-existing tools, frameworks, templates, plugins, proprietary methodologies, or any third-party components used in the creation of your project.
5.2 Code Metrix Proprietary Assets
All content on https://cm-webservices.com/, including but not limited to text, graphics, logos, icons, service descriptions, SEO frameworks, methodologies, and the overall look and feel of the website, is the exclusive property of Code Metrix and is protected by applicable copyright, trademark, and intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our website content without prior written permission from Code Metrix.
5.3 Portfolio and Case Study Rights
Unless explicitly agreed otherwise in writing, Code Metrix reserves the right to display completed client projects in our portfolio, case studies, and marketing materials as examples of our work. Client-identifying information will only be used with your written consent.
5.4 Third-Party Intellectual Property
You represent and warrant that any content, images, logos, trademarks, or other materials you provide to Code Metrix for use in your project are either owned by you or that you have obtained all necessary licenses and permissions to use them. You agree to indemnify and hold Code Metrix harmless from any claims arising from your unauthorized use of third-party intellectual property.
6. Payment Terms
6.1 Fees and Invoicing
Service fees are as agreed upon in your individual service proposal or contract with Code Metrix. Invoices are due upon the date specified therein. Code Metrix reserves the right to pause or suspend work on any active project in the event of non-payment until outstanding balances are resolved.
6.2 Refund Policy
Due to the custom nature of web development and SEO services, all payments made to Code Metrix are generally non-refundable once work has commenced. Any exceptions to this policy will be outlined explicitly in your individual service agreement. If you have concerns about the progress or quality of your project, we encourage you to contact us promptly so we can address them in good faith.
6.3 Late Payments
Invoices not paid within the period specified in your service agreement may be subject to late fees or suspension of services. Code Metrix reserves the right to withhold delivery of final files or transfer of ownership until full payment is received.
7. Confidentiality
Code Metrix understands that in the course of providing services, we may gain access to sensitive business information. We commit to keeping all client-provided information strictly confidential and will not disclose it to third parties without your consent, except as required by law or as necessary to perform the contracted services (e.g., sharing credentials with a trusted subcontractor under a binding confidentiality obligation).
Clients are equally expected to keep confidential any proprietary methodologies, pricing structures, or internal strategies shared by Code Metrix during our engagement.
8. Limitation of Liability
8.1 No Warranties
CM Web Services and the content on https://cm-webservices.com/ are provided on an “as is” and “as available” basis. Code Metrix makes no warranties, express or implied, regarding the accuracy, completeness, reliability, or fitness for a particular purpose of any content or service offered.
8.2 Limitation of Damages

8.3 Maximum Liability Cap
In all cases, Code Metrix’s total cumulative liability to you for any claims arising from or related to your service engagement shall not exceed the total fees paid by you to Code Metrix in the three (3) months preceding the event giving rise to the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless Code Metrix and its owners, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your breach of these Terms of Use; (b) your violation of any applicable law or regulation; (c) any content or materials you provide to Code Metrix; or (d) your use or misuse of our services.
10. Termination
10.1 Termination by Client
You may terminate your service engagement with Code Metrix by providing written notice as specified in your individual service agreement. Termination does not entitle you to a refund of fees already paid for work completed or in progress at the time of termination.
10.2 Termination by Code Metrix
Code Metrix reserves the right to suspend or terminate services at any time if you breach these Terms of Use, fail to make timely payments, or engage in conduct that is harmful to our business, reputation, or other clients. In the event of termination by Code Metrix due to client misconduct, no refund will be issued for services already rendered.
10.3 Effect of Termination
Upon termination, any outstanding balances become immediately due. Code Metrix will provide you with any completed deliverables for which full payment has been received. Sections of these Terms of Use that by their nature should survive termination — including intellectual property, confidentiality, limitation of liability, and indemnification — shall remain in effect.
11. Website Use and Conduct
